The Organizational Model Legislative Decree 231/2001
Legislative Decree No. 231 of June 8, 2001, as amended, introduced the so-called administrative liability of entities into our legal system. This liability provides that a company may be held criminally liable if one or more of its officers commits one of certain specific crimes in the interest or to the benefit of the company itself. This liability translates into administrative fines or prohibitions on the exercise of corporate activities.
To be able to ‘exempt’ itself from this liability, the Company must demonstrate that it has effectively implemented an Organizational, Management and Control Model pursuant to Legislative Decree 231/2001.
The adoption of an adequate and efficient Organizational Model 231, in addition to offering the benefit of the exemption mentioned above, strengthens the internal control system and promotes the consolidation of a corporate culture based on the values of transparency, ethics, fairness and respect for the rules, with obvious benefits for the company’s image and the trust placed in it by all its interlocutors.
